Terms and Conditions – Elite Productions
1. Service Overview
Elite Productions agrees to provide the Seasoned Package, which includes the following services:
Done-For-You (DFY) Services:
– Polished Video Editing
– Captions
– Cover Photo Designs
– Content Publishing
**Done-With-You (DWY) Services:**
– Creative Strategy Session
– Professional Scripting (if needed)
– Up to 2 Film Days
– Up to 3 Hours Per Film Day (clock starts upon arrival and setup)
– Filming of 10 High-Quality Short-Form Videos (up to 90 seconds each)
– Quarterly Update & Review Meeting (via Zoom or upon request)
2. Payment Terms
– **Package Rate:** $2,749 per month
– **Minimum Commitment:** 3 consecutive months
– **Total Minimum Package Cost:** $8,247
– **Payment Options:**
– Full upfront payment (for 3-month term or longer)
– Monthly billing at $2,749/month
Additional Charges:
– **Mileage:** $35 per visit beyond 15 miles from Tucson city center
– **Additional Filming Time:** $150/hour
3. Refund Policy
Due to the personalized and creative nature of the services, all fees paid are **non-refundable**. Provider makes no guarantee of specific results or financial returns. This applies regardless of usage, satisfaction, or business outcome.
4. Client Responsibilities
The Client is responsible for:
– Attending sessions and providing necessary assets.
– Participating in filming days and implementing discussed strategies.
– Collaborating in the development of video ideas and concepts to align with their brand, goals, and audience.
– Actively communicating with Elite Productions to schedule shoot days in a timely manner.
Failure to coordinate shoot days may result in forfeited video deliverables for that month, as unused videos will not roll over into subsequent months.
5. Confidentiality
Both Parties agree to protect and keep confidential any non-public, proprietary, or sensitive information exchanged under this Agreement. This obligation remains in effect even after the termination of this Agreement.
6. Term & Termination
This Agreement is effective for a minimum term of **three (3) consecutive months** from the date signed.
– **Early Termination:** If the Client cancels before the minimum term ends, full payment for the entire 3-month term remains due. No prorated refunds will be issued.
– **Provider Termination:** Provider may terminate this Agreement if the Client breaches any material term, including non-payment.
7. Ownership & License
Upon full payment, the Client shall own the final delivered content, including videos, cover images, and scripts.
– Provider retains ownership of proprietary systems, frameworks, templates, and filming techniques.
– The Client receives a non-exclusive, non-transferable license to use these elements for business purposes.
8. Dispute Limitation
The Client agrees not to initiate any lawsuits or court actions outside of the process defined in Section 9. Class action participation is also waived.
9. Dispute Resolution & Governing Law
All disputes shall be resolved as follows:
– **Step 1:** Good faith negotiation between the Parties (15 days)
– **Step 2:** If unresolved, binding arbitration under the American Arbitration Association, located in Tucson, Arizona
**Governing Law:** State of Arizona
**Attorney’s Fees:** The prevailing party in arbitration is entitled to reasonable attorney’s fees and costs.
10. Entire Agreement
This document represents the entire agreement and supersedes all prior agreements. Amendments must be in writing and signed by both Parties.
11. Signatures & Acknowledgement
By signing below, each party acknowledges they have read, understood, and agree to the terms of this Agreement.
